BY-LAWS


Article I. Name
This is a non-profit organization.  The name of this organization is the Golden Spike Decorative Painters and shall be referred to herein as the GSDP.

 Article II. Purpose
The purpose of GSDP shall be to stimulate interest in and appreciation for decorative painting and to raise the quality of the art form.

Article III. Membership
1. Membership is open to all persons who, in accepting membership, thereby agree to be bound in all things not contrary to law, by these By-Laws.
2. Guests are welcome to visit and participate in activities as specified in the Standing Rules.

Article IV. Dues
1. Membership dues shall be determined by a majority vote of the quorum. (see Article V.3.) of the membership.
2. Membership shall be paid annually on a calendar year basis. Dues for the ensuing calendar year are payable by November 1 of the current year and are delinquent January 1.
3. Amount of dues shall be as stated in the Standing Rules.

Article V. Meetings
1. Regular meetings shall be held as stated in the Standing Rules.
2. The Board of Directors (see Article VIII) shall have the authority to change dates of meetings and set places and times of meetings, provided sufficient notice is given to members.
3. A quorum shall consist of not less than twenty percent (20%) of the membership.
4. The privilege of holding office, making motions, debating, and voting shall be limited to members in good standing for the current calendar year.

Article VI. Elected Officers
1. The elected officers shall be President, First Vice President, Second Vice President (if deemed necessary), Secretary and Treasurer.
2. The term of the elected officers shall be two (2) years. 
3. Duties of officers shall be as follows:
   a. The President shall preside at meetings of the Board of Directors, shall be a member ex-officio of all committees, with the exception of the nominating committee, shall sign checks in the absence of the Treasurer, and shall perform such other duties as usually pertain to the office. The President shall, with the aid of the First Vice President and/or the Seminar Chairperson, recruit teachers for monthly paint-ins and seminars and coordinate meeting facilities. 
   b. The First Vice President shall preside in the absence of the President, shall attend Board and Business meetings, shall assist the President and/or the Seminar Chairperson in recruiting teachers for monthly paint-ins and in coordinating meeting facilities. The First Vice President shall also serve as the Raffle and Prize Coordinator. 
   c. The Second Vice President shall preside in the absence of the President and First Vice President and shall assist the President and First Vice President as needed.
   d. The Secretary shall record minutes of all meetings the Board of Directors. These minutes shall be kept in books or electronically which are the property of GSDP and shall be a complete and clear record of activities. The Secretary shall provide a copy of the minutes of all meetings to the President.
   e. The Treasurer shall receive all monies of GSDP, keep an accurate record of the receipts and all expenditures, pay all bills upon approval of the Board of Directors, present a statement of account at every meeting of the Board of Directors, prepare a complete report at the end of the calendar year and complete any tax forms required of GSDP. 
   f. The Past President shall assist the President and Board of Directors as needed.
4. Resignation – A board member may resign by submitting a written resignation to the Board of Directors. The resignation shall not relieve the member from the obligation of any outstanding accounts due to GSDP.

Article VII. Appointed Officers and Parliamentarian
1. Other officers of GSDP may be appointed for special duties as deemed necessary by the President. These duties may include, but are not limited to, such positions as Historian, Hospitality, and Librarian.
   a. The President may appoint, with the approval of the Board of Directors, the Seminar Chairperson, Newsletter/Web Editor/Membership Coordinator and, if necessary, the Ways and Means Chairman who shall serve on the Board of Directors as voting members.
   b. The term of the appointed officers shall be one (1) year and may be reappointed in consecutive terms.
   c. The number of appointed officers with a vote, shall not exceed the number of elected officers.
2. The President may appoint a Parliamentarian who shall attend both Board and GSDP meetings but shall not be a voting member of the Board.

Article VIII. Board of Directors
1. The Board of Directors shall consist of elected officers, Seminar Chairperson, Newsletter/Web Editor, the Ways and Means/Public Relations chairman and the immediate Past President.
2. The duties of the Board of Directors shall be:
   a. To transact necessary business of GSDP. 
   b. To submit an annual budget for approval of membership of GSDP.
   c To review all non-budgeted expenses and make recommendations regarding payment.

Article IX. Finances
1. Upon recommendation of the Treasurer, the Board of Directors shall designate all financial institutions which shall be the depository of GSDP funds. Signature cards shall be executed by the President,  the Treasurer and a Past President.
2. To insure that the accounting procedures are accurate, consistent, and current, a year-end audit of the Treasurer’s records shall be performed by an auditor designated by the Board of Directors. This report shall be presented to the Board of Directors and the membership of GSDP for their review at the next business meeting.

Article X. Committees
1. Standing committees may be created as needed to promote the objectives and interests of GSDP. Chairmen and members shall be appointed by the President with the approval of the Board of Directors for a term of one (1) year. 
2. Special committees may be created at the discretion of the President with the approval of the Board of Directors. The duties of the special committees shall be stated upon their appointment, and such committees shall cease to exist when their final report is accepted or adopted.
3. No committee work or monies expended shall be undertaken without approval of the Board of Directors.

Article XI. Nominations and Elections
1. Elections shall be held every two (2) years unless there is a vacancy on the Board of Directors that needs to be filled. Nominations shall be made in the fall for the succeeding year.
    a. The nominating committee, composed of not less than two (2) and not more than four (4) members, shall be appointed by the President with the approval of the Board of Directors. The nominating committee shall be appointed at least two (2) months before the meeting at which elections will be held.
    b. The nominating committee shall prepare a slate for the election of officers and shall submit it (via the newsletter, electronically or a special meeting) to the members at least two (2) weeks prior to the meeting at which elections will be held.
    c. Special Provision: After obtaining the consent of the member(s), their name may be submitted from the floor for each office at the meeting at which elections are held.
2. Elections shall take place before December 1st.
   a. Officers shall be elected prior to the first of the year and shall take office January 1.
   b.Members will be able to vote via electronic or written ballots. A majority vote of members is required to elect. 
   c. A mid-term vacancy in the office of the President shall be filled by the First Vice President.
   d. Mid-term vacancies in all other offices shall be filled by a majority vote of the Board of Directors.
   
Article XII. Amendments
1. Proposed amendments to these By-Laws shall be submitted in writing to the President for review by the Board of Directors.
2. These By-Laws may be altered or changed by a 2/3 vote of  members present at a meeting in which a quorum (20% of total membership) is present, provided that the proposed changes have been presented in writing to the members at least two (2) weeks prior to the meeting at which voting takes place.
3. In the event that a quorum has not been present at two successive meetings, these By-Laws can be changed when a majority of members responds via electronic or written ballots.

Article XIII. Parliamentarian Authority
1. Roberts Rules of Order, newly revised, shall be the Parliamentary Authority for all matters not in conflict with these By-Laws.

Article XIV. Dissolution
1. In the event of the dissolution of GSDP, all liabilities and obligations of GSDP shall be paid, satisfied and discharged, or adequate provisions made therefore. Any  remaining assets shall be distributed at the discretion of the Board of Directors in accordance with IRS rules and regulations.

Article XX. Liability
1.This orginization is not liable for any injury sustained by any Member, Guest, or Teacher attending and sponsored Paint-in, Seminar, or Social event. Anyone attending events does so at their own risk.




STANDING RULES 


1. Membership dues shall be $15.00 per year (January through December 31) and shall be due and payable by January 1 of the current year. Members of GSDP will need to sign a Waiver of Liability at the same time they pay their annual dues in order to attend GSDP events.

2. The financial records of GSDP shall be kept on a calendar basis, from January 1 through December 31.

3. Business meetings shall be held not less than three (3) times annually.

4. A grant may be presented annually to the President for the purpose of attending a painting seminar or class whose purpose supports and benefits the membership.  If the President is unable to attend, the grant may be offered to another officer. The officer attending shall, upon return, teach that class to GSDP members. This grant is currently set at $300.  

5. The activities of GSDP shall include monthly classes (herein called paint-ins), special seminars or retreats (herein called seminars), and an annual social (usually held in December).

GSDP will be responsible to supply the teachers, patterns, photos, instructions and location for the paint-ins and seminars.

PC generated copies will be reimbursed at $.10 per copy for black and white and $.15 per copy for colored copies. All other copies will be reimbursed at cost. (Must have a receipt.) The Treasurer will be reimbursed for one ink cartridge per year.

Students have the option of purchasing the surface(s) from GSDP or bringing their own.

6. Paint-in meetings will be held each month except the months of the seminars, social, and possibly one or two in summer. For 1 day classes, students shall pay a $7.50 non-refundable fee and the teacher shall be paid a teaching fee of $50.00 or $5.00 per student, whichever is greater. For 2 day classes, students shall pay a $50.00 non-refundable fee and the teacher shall be paid a teaching fee of $200.00 or $45.00 per student, whichever is greater.

7. Seminar teachers shall be paid according to written contracts. GSDP will provide transportation, housing and meals to seminar teachers while they are here teaching. Members who provide housing for seminar teachers will be reimbursed $200.00 for a 3 day seminar. Members who provide meals for seminar teachers will be reimbursed per receipts. Members who provide transportation for seminar teachers to and from the airport will be reimbursed $20 for pickup and $20 for return.

Students are responsible to pay for any seminar for which they enroll. If a member signs up for a seminar but is unable to attend, they must notify the Seminar Chairperson and/or the President as far in advance as possible.

Student refunds will be authorized for the seminars at the discretion of the Board.

8. A visitor who has never been affiliated with GSDP shall be known as a guest.

A guest (see Article III, By-Laws) may attend GSDP activities no more than twice.

Guest fees for the paint-ins shall be the same as the member’s fee. The non-member's fee for the seminars, when space is available, shall be the same as the member’s fee plus $15.00 per-day.

9. When a member in good standing passes away, GSDP will give a gift, in their memory, of $25.00 to the family of the deceased.

10. These standing rules may be amended in the same manner as the By-Laws (see Article XII).
